PriceTilt Terms of Service

1. Agreement to These Terms
These Terms of Service (the “Terms”) form a binding agreement between you and PriceTilt LLC (“PriceTilt,” “we,” “us,” or “our”). The Terms govern your access to and use of the PriceTilt service, including our websites at pricetilt.com and app.pricetilt.com, and any related features, applications, or services we offer (collectively, the “Service”).
By creating a PriceTilt account, signing in via Single Sign-On (“SSO”), or otherwise using the Service, you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy. If you do not agree to these Terms or the Privacy Policy, you may not use the Service.
If you are agreeing to these Terms on behalf of a brokerage, agency, or other organization, you represent that you have authority to bind that organization to these Terms.
2. The Service --- What PriceTilt Is and Is Not
2.1 What PriceTilt Is
PriceTilt is a buyer’s intelligence platform that provides research and analytical content to home buyers regarding specific residential properties in the United States. The Service has two tiers:
- Free Tier: an AI-assisted, grounded property chat and summary drawing on publicly available sources (web search of public sites, and public records as surfaced by our licensed data provider), subject to fair-use limits.
- Paid Tier (“PriceTilt Pro”): the free-tier features PLUS a verified numeric Tilt Score generated and intelligence from licensed commercial property data, persistent saved reports, cross-session chat memory, alerts on saved properties, and multi-property comparison.
2.2 What PriceTilt Is NOT
The Service is a research tool. It is not:
- Financial advice. PriceTilt does not provide investment, tax, accounting, or financial planning advice.
- Legal advice. PriceTilt does not provide legal advice. Real estate transactions involve significant legal questions; consult a licensed attorney.
- Real estate brokerage services. PriceTilt is not a real estate broker. We do not represent buyers or sellers in real estate transactions. Engage a licensed real estate agent for representation.
- An appraisal. PriceTilt’s Tilt Score and other outputs are not appraisals as defined by federal or state law. For a property appraisal, engage a licensed appraiser.
- A guarantee of outcome. The Service provides research-grade information; we do not guarantee that following PriceTilt’s recommendations will result in any specific negotiation outcome, transaction price, or financial result.
- A consumer report under FCRA. The Service is not designed for, intended for, or permitted to be used for tenant screening, credit decisions, employment decisions, insurance underwriting, or any other purpose covered by the Fair Credit Reporting Act (15 U.S.C. § 1681 et seq.). Use of the Service for any FCRA-covered purpose is prohibited.
- A substitute for inspection or due diligence. Always conduct appropriate inspections, due diligence, and professional consultation before entering into a real estate transaction.
You agree that PriceTilt’s research-grade information supplements --- but does not replace --- the advice of qualified licensed professionals.
3. Eligibility
To use the Service, you must:
- Be at least 18 years old
- Be a legal resident of the United States
- Have the legal authority to enter into a binding agreement
- Not be prohibited from using the Service under any applicable law
The Service is intended for individuals located in the United States. We do not knowingly direct or market the Service to individuals outside the U.S. By creating an account, you represent that you meet these eligibility requirements.
We may refuse service, terminate accounts, or remove content at our discretion if we believe a user does not meet these eligibility requirements.
4. Account Creation and Security
4.1 Account Creation
To access most features, you must create an account using an email address and password, or by signing in through a supported SSO provider (currently Google; additional providers may be added over time).
You agree to: - Provide accurate, current, and complete information through your SSO provider - Maintain the security of your SSO provider account (your SSO provider’s own security policies apply) - Promptly notify PriceTilt of any unauthorized access to your PriceTilt account - Accept responsibility for all activities that occur under your account
4.2 One Account Per Person
Each individual may maintain only one PriceTilt account. Account sharing is prohibited. If you are an organization, you may not use a single account to provide service to multiple individuals --- for the buyer’s agent B2B2C use case, see Section 7.
4.3 Account Suspension
We may suspend or terminate your account if we determine you have violated these Terms, used the Service in a manner that harms or risks harming PriceTilt or other users, or otherwise engaged in conduct we determine is incompatible with the Service.
5. Subscription Plans and Payment
5.1 Free Tier
The Free Tier requires SSO sign-up but does not require payment. Free Tier features and usage limits may change from time to time and are subject to fair-use limits (including but not limited to limits on chat messages, scoring requests, and cache use). Current Free Tier limits are described on our website at the time of your use.
5.2 Paid Tier (“PriceTilt Pro”)
The Paid Tier requires a recurring subscription managed through Stripe, our payment processor. By upgrading to the Paid Tier, you agree to the following:
- Recurring charges. Your subscription will renew automatically at the end of each billing period at the then-current rate, unless you cancel before renewal. You authorize PriceTilt to charge your designated payment method for each renewal.
- Pricing. Current pricing is displayed at upgrade. Prices may change with at least 30 days’ notice for existing subscribers; price changes apply at your next renewal.
- Cancellation. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period; you retain Paid Tier access through that period.
- Refunds. Except as required by law, paid subscription fees are non-refundable. PriceTilt may, in its discretion, issue refunds for billing errors or service disruptions.
- Failed payments. If a renewal payment fails, we will attempt re-processing for up to 7 days before downgrading your account to the Free Tier.
- Tax. Listed prices include applicable sales, use, or value-added taxes.
5.3 Subscription Lapse and Saved Content
When a Paid Tier subscription lapses (cancellation, failed payment, or other termination), your saved reports and chat history will be retained in free mode. In free mode:
- You may view previously saved reports
- You may not generate new verified Tilt Scores, save new reports, receive alerts, or use cross-session chat memory
- You retain Free Tier access
- You may delete your account and associated data at any time from your account settings (see Section 13).
5.4 Invite Code Access (B2B2C)
If you receive PriceTilt access through an invite code issued by a buyer’s agent, see Section 7 below.
6. Your Use of the Service --- Acceptable Use
6.1 What You Agree Not to Do
You agree NOT to:
Use the Service unlawfully or to harm others: - Use the Service for any purpose covered by the Fair Credit Reporting Act, including but not limited to tenant screening, credit decisions, employment decisions, or insurance underwriting - Use the Service to discriminate against any person on the basis of race, color, national origin, religion, sex, familial status, disability, sexual orientation, gender identity, or any other characteristic protected by federal, state, or local law (including the Fair Housing Act) - Use the Service to stalk, harass, threaten, or harm any individual identified in the Service’s outputs (including property owners or buyers) - Use the Service to facilitate any unlawful real estate transaction or unlawful business practice - Violate any applicable law, regulation, or third-party right while using the Service
Compromise the Service or PriceTilt’s intellectual property: - Reverse-engineer, decompile, disassemble, or otherwise attempt to extract or derive the source code, scoring methodology, system prompts, or proprietary algorithms of the Service - Attempt to extract, infer, or reproduce PriceTilt’s scoring weights, formula structure, score-to-offer-range mapping, or system prompt content - Scrape, harvest, crawl, or systematically extract data from the Service through automated means - Use the Service in any manner that imposes unreasonable load on our infrastructure - Use the Service to develop a competing product or service - Resell, redistribute, or sublicense the Service or its outputs to third parties without our written permission - Remove, modify, or obscure any copyright, trademark, or attribution notices
Compromise account or system integrity: - Share your account credentials with another person - Create multiple accounts to circumvent usage limits - Use bots, scripts, or other automated tools to interact with the Service - Attempt to gain unauthorized access to any portion of the Service, other users’ accounts, or any PriceTilt system - Interfere with or disrupt the Service or its servers - Bypass any security or access controls - Introduce malware, viruses, or harmful code to the Service
Misuse the chat or LLM features: - Attempt to extract or reveal PriceTilt’s system prompts - Use chat to generate content unrelated to property research - Use the Service to generate misleading, deceptive, or harmful content - Use the Service to impersonate any person or entity
6.2 Fair Housing Compliance
The federal Fair Housing Act and applicable state and local laws prohibit discrimination in real estate transactions on the basis of protected characteristics. You agree to comply with all applicable fair housing laws when using the Service. You may not use any information obtained from the Service to engage in discriminatory practices.
PriceTilt has implemented technical and policy safeguards designed to prevent the Service from producing content that could constitute steering, discrimination, or other Fair Housing Act violations. You agree not to circumvent these safeguards and not to use the Service’s outputs in any manner that violates applicable fair housing laws.
6.3 Public Records and Owner Information
The Service may surface information about property ownership, including names and history of ownership, drawn from public records (county assessor and recorder data, deed records, etc.). This information is: - Publicly available through county records - Provided to inform your understanding of a property’s history and ownership context - Not provided for the purpose of contacting, soliciting, or otherwise reaching out to property owners
You agree not to use owner information from the Service to: - Contact property owners about properties not listed for sale - Solicit property owners through mail, email, phone, or door-to-door contact based on Service outputs - Compile lists of property owners for marketing, sales, or any other purpose - Reverse-engineer or aggregate owner data to build a derivative dataset
If you wish to make contact with a property owner of a property currently listed for sale, the appropriate channel is through the listing agent.
6.4 Reporting Misuse
If you observe misuse of the Service or believe a violation of these Terms has occurred, contact us at abuse@pricetilt.com.
7. Buyer’s-Agent Invite Code Access (B2B2C)
7.1 How It Works
A licensed buyer’s agent (“Agent”) or authorized PriceTilt representative may issue PriceTilt invite codes that grant their clients (“Buyers”) Paid Tier access for a defined period. If you redeem a valid invite code:
- You receive Paid Tier access for the duration specified by the invite code (default 6 months; agent-defined where specified)
- Your account is associated with the issuing Agent
- The Agent will be notified of which properties you analyze using the Service while under the invite-code access
- The Agent will NOT have access to your chat conversations, saved notes, or communications with PriceTilt
7.2 Agent and Buyer Roles
The Agent issues invite codes as a value-added service to their representation of you. The Agent does not become a PriceTilt employee, agent, or representative. PriceTilt’s relationship is with you (the Buyer); the Agent’s relationship with you is governed by your separate engagement with the Agent.
PriceTilt is not responsible for the Agent’s representations about the Service or the Agent’s real estate services. Conversely, the Agent is not responsible for PriceTilt’s Service operation, content, or outputs.
7.3 When Invite-Code Access Ends
Upon expiration of invite-code access: - Your account is downgraded to the Free Tier - Saved reports and chat history are preserved in read-only mode per Section 5.3 - You may choose to subscribe directly through Stripe to retain Paid Tier access - You may redeem a fresh invite code from the same or different Agent
7.4 If Your Agent Relationship Ends
If your engagement with the issuing Agent ends, you may continue to use PriceTilt under your invite-code access for the remainder of its TTL. You may also request that PriceTilt disassociate your account from the Agent (we will honor the request and notify the Agent that the association has ended).
8. Intellectual Property --- Ours and Yours
8.1 PriceTilt’s Intellectual Property
The Service, including all software, algorithms, scoring methodology, system prompts, factor weights, normalization functions, score-to-offer-range mapping, report templates, designs, logos, trademarks, and other content created by or for PriceTilt (collectively, “PriceTilt IP”), is owned by PriceTilt LLC and its licensors. PriceTilt IP is protected by copyright, trademark, trade secret, and other applicable laws.
Except as expressly licensed in these Terms, you receive no rights to PriceTilt IP. Specifically:
- You may not copy, modify, distribute, or create derivative works of any PriceTilt IP
- You may not reverse-engineer or attempt to derive the structure or content of any PriceTilt IP
- You may not use PriceTilt IP to develop a competing service
- The Tilt Score, Tilt Report, and the scoring methodology are protected trade secrets and proprietary information of PriceTilt
8.2 Limited License to You
Subject to your compliance with these Terms, PriceTilt grants you a limited, non-exclusive, non-transferable, revocable license to: - Access and use the Service for your personal, non-commercial property research - View, save (if Paid Tier), and share PriceTilt-generated reports with your buyer’s agent, attorney, lender, or other professional advisors involved in your specific real estate transaction - Cite specific factual statements from PriceTilt reports in communications with sellers or their agents during the course of a specific real estate transaction
This license does not permit you to publish PriceTilt reports or outputs publicly, post them on social media in their entirety, share them broadly outside the context of a specific real estate transaction, or use them for any commercial or competitive purpose.
8.3 Your Content
The Service permits you to enter content including property addresses, asking prices, chat messages, and saved notes (“Your Content”). You retain ownership of Your Content.
8.4 License to PriceTilt --- Aggregated and De-Identified Data
To enable us to operate, improve, and grow the Service, you grant PriceTilt a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to:
- Use Your Content to provide the Service to you
- Process Your Content to generate reports, scores, and personalized features
- Aggregate, de-identify, transform, and analyze Your Content (and information about your interactions with the Service) for any purpose, including:
- Improving the Service, the scoring methodology, the system prompts, and the report templates
- Building and maintaining the calibration corpus (a dataset of scored properties paired with eventual market outcomes, used for methodology calibration)
- Developing aggregated market intelligence, research outputs, and aggregated insights about property-market dynamics
- Selling, licensing, transferring, or otherwise commercializing aggregated or de-identified data and derived insights to third parties, provided that such data has been processed to remove information that could reasonably be used to identify you or your household
- Display PriceTilt-generated reports and scores to you within the Service
- Display anonymized excerpts of PriceTilt-generated content as examples on our marketing materials, with no identifying information
Aggregated or de-identified data and derived insights, after processing, are not “Your Content” or your personal information and may be used without further restriction.
8.5 Trademarks
“PriceTilt,” “Tilt Score,” “PriceTilt Pro,” “Home Buyer’s Intelligence,” and “What the Listing Won’t Show You” are trademarks of PriceTilt LLC. You may not use any PriceTilt trademark without our prior written permission.
8.6 Feedback
If you provide PriceTilt with suggestions, ideas, feature requests, or other feedback about the Service (“Feedback”), you grant PriceTilt a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use the Feedback for any purpose without compensation or attribution.
9. Third-Party Data and Services
The Service relies on third-party data sources and services, including: - ATTOM Data Solutions: licensed property data (deeds, AVM, tax assessments, building permits, flood-zone designation, etc.), which itself draws on government and public records - AWS services: including Bedrock, Cognito, DynamoDB, S3, API Gateway, Amplify, Location Service, Secrets Manager - Stripe: payment processing - Tavily: web search of publicly available sources - Federal Reserve Economic Data (FRED): mortgage-rate reference data - Google: SSO authentication (additional providers may be added). Public records (e.g., county assessor and recorder data) are incorporated as surfaced through the providers above; PriceTilt does not separately integrate every government data source.
PriceTilt does not warrant the accuracy, completeness, or timeliness of third-party data. Third-party data is provided “as is” by the relevant provider, and PriceTilt’s use of such data is subject to the provider’s own terms.
You agree that your use of the Service is subject to: - ATTOM’s licensing terms (PriceTilt is licensed; you are not separately licensed to ATTOM data through the Service) - Stripe’s payment processing terms (your subscription billing relationship is partially with Stripe) - Your chosen SSO provider’s terms (Google, and any additional SSO providers we offer)
10. Disclaimers
10.1 “As Is” and “As Available”
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PRICETILT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION: - WARRANTIES OF MERCHANTABILITY - WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE - WARRANTIES OF NON-INFRINGEMENT - WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE - WARRANTIES OF ACCURACY, COMPLETENESS, OR RELIABILITY OF SERVICE OUTPUTS
10.2 No Guarantee of Outcomes
PriceTilt does not warrant: - That the Service’s outputs will result in any specific negotiation outcome, sale price, or financial result - That third-party data sources will be accurate, complete, or current - That the scoring methodology will produce results that match actual market outcomes in any specific case - That the Service will identify every relevant fact about a property - That information not provided by PriceTilt does not exist or is not material
Your real estate transaction is your responsibility. Engage qualified professionals (buyer’s agent, attorney, inspector, lender, appraiser, insurance agent) and conduct appropriate due diligence before entering into any transaction.
10.3 LLM-Generated Content
A portion of the Service’s outputs is generated by large language models (LLMs) provided through AWS Bedrock. LLMs may produce content that is incorrect, incomplete, or misleading. Information generated by LLMs is best understood as a starting point for further investigation, not as a definitive statement of fact. You agree to independently verify any material LLM-generated claim before relying on it for a transaction decision.
10.4 Public Records Limitations
Information drawn from public records may be outdated, contain errors, or be incomplete. County assessor and recorder data is maintained by government agencies that have their own data quality practices. PriceTilt does not warrant the accuracy of any public record data displayed in the Service.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
11.1 No Indirect Damages. PRICETILT, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF PRICETILT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.2 Cap on Direct Damages. EXCEPT AS PROHIBITED BY APPLICABLE LAW, PRICETILT’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE FEES YOU PAID TO PRICETILT IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
11.3 Specific Disclaimer for Transaction Outcomes. PRICETILT IS NOT LIABLE FOR THE OUTCOME OF ANY REAL ESTATE TRANSACTION, INCLUDING WITHOUT LIMITATION FAILURE TO CLOSE, UNFAVORABLE SALE PRICE, INSPECTION DEFECTS NOT IDENTIFIED, TITLE DEFECTS, INSURANCE COMPLICATIONS, OR ANY OTHER TRANSACTION-RELATED LOSS. YOU ACKNOWLEDGE THAT PRICETILT IS A RESEARCH TOOL AND THAT TRANSACTION OUTCOMES DEPEND ON FACTORS BEYOND THE SCOPE OF THE SERVICE.
11.4 Essential Basis. YOU ACKNOWLEDGE THAT THE LIMITATIONS IN THIS SECTION 11 ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND PRICETILT. WITHOUT THESE LIMITATIONS, THE TERMS WOULD BE SUBSTANTIALLY DIFFERENT.
12. Indemnification
You agree to indemnify, defend, and hold harmless PriceTilt, its affiliates, officers, employees, agents, and licensors from and against any claim, loss, liability, damage, cost, or expense (including reasonable attorneys’ fees) arising out of or related to:
- Your use of the Service in violation of these Terms
- Your violation of any applicable law or third-party right
- Your use of Service outputs in a manner that constitutes (or is alleged to constitute) discrimination, harassment, or other unlawful conduct
- Your use of Service outputs for FCRA-covered purposes
- Your breach of any representation, warranty, or agreement made under these Terms
- Content you submit to or through the Service
PriceTilt reserves the right to assume the exclusive defense and control of any matter for which you are required to indemnify us, in which case you will cooperate with our defense.
13. Termination
13.1 Your Right to Terminate
You may terminate your account at any time by: - Canceling your subscription (if Paid Tier) through your account settings - Requesting account deletion through your account settings (effective immediately) or by contacting support@pricetilt.com
13.2 Our Right to Terminate
We may terminate or suspend your account, with or without notice, if: - You materially breach these Terms - We are required to do so by law, court order, or governmental request - We discontinue the Service in part or in whole - We determine that continued provision of the Service to you would create unacceptable legal, financial, or operational risk for PriceTilt or its users
13.3 Effect of Termination
Upon termination: - Your right to access and use the Service ends - We may retain Your Content per the retention practices described in our Privacy Policy - The provisions of these Terms that by their nature should survive termination (including without limitation Sections 8, 10, 11, 12, 14, and 15) shall survive
13.4 Refunds Upon Termination
If we terminate your account for reasons other than your material breach of these Terms, we will refund any unused prepaid subscription fees on a pro-rata basis. If we terminate for material breach, no refund is due except as required by applicable law.
14. Dispute Resolution
14.1 Governing Law
These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws principles. The federal courts located in King County, Washington and the state courts of Washington in King County have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Service.
14.2 Informal Resolution
Before filing any claim, you agree to first attempt to resolve the dispute informally by contacting us at legal@pricetilt.com and providing a written description of the dispute. We will attempt to resolve the dispute through good-faith discussion within 60 days.
15. General Provisions
15.1 Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by: - Email to the address associated with your account, at least 30 days before the changes take effect - Prominent notice on the Service
Your continued use of the Service after the effective date of an updated Terms constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service before the effective date.
15.2 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and PriceTilt regarding the Service and supersede any prior or contemporaneous agreements.
15.3 Severability
If any provision of these Terms is held unenforceable, the remaining provisions shall continue in full force and effect.
15.4 No Waiver
PriceTilt’s failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
15.5 Assignment
You may not assign or transfer your rights or obligations under these Terms without PriceTilt’s prior written consent. PriceTilt may assign these Terms in whole or in part without restriction, including in connection with a merger, acquisition, financing, reorganization, sale of all or part of our assets, or other corporate transaction.
15.6 No Third-Party Beneficiaries
These Terms are for the benefit of you and PriceTilt only. No third party (other than PriceTilt’s affiliates) has any rights under these Terms.
15.7 Force Majeure
PriceTilt is not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including without limitation acts of God, natural disasters, war, terrorism, civil unrest, pandemic, government action, power outages, third-party service failures (including AWS or Stripe outages), or internet connectivity failures.
